Please read these Terms of Use carefully before using the Off The Grid platform. These Terms constitute a legally binding agreement between you and Matalon Enterprises, LLC, doing business as Off The Grid ("Off The Grid," "we," "us," or "our"). By creating an account, listing a product, or completing a purchase, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into a binding agreement.
Off The Grid is a curated online marketplace connecting independent fashion designers ("Designers" or "Sellers") with buyers ("Buyers"). Off The Grid acts solely as a venue and is not a party to any transaction between Buyers and Sellers. We do not manufacture, store, inspect, or take title to any goods listed on the Platform.
3.1 Registration. You must create an account to buy or sell on the Platform. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.
3.2 Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@offthegrid.nyc if you suspect unauthorized access.
3.3 One Account Per Person. You may not maintain more than one account. We reserve the right to terminate duplicate accounts without notice.
4.1 Eligibility Criteria. To sell on Off The Grid, you must be an independent fashion designer operating from a residential or small office space, below the customer volume and business classification thresholds established by Off The Grid in its sole discretion. These thresholds may be updated from time to time.
4.2 Application. Prospective Designers must complete and submit an application through the Platform. Submission does not guarantee approval. Approved Designers may list products immediately upon acceptance.
4.3 Ongoing Compliance. If your business grows beyond the applicable eligibility threshold, you are required to notify Off The Grid promptly. We reserve the right to suspend or remove Designers who no longer satisfy eligibility criteria.
4.4 Accuracy of Information. By submitting an application, you represent that all information provided is accurate and complete. Misrepresentation is grounds for immediate account termination.
5.1 Designer Responsibility. Designers are solely responsible for the accuracy, legality, and completeness of their listings, including product descriptions, pricing, shipping costs, photographs, and available quantities.

5.3 Intellectual Property. By listing on the Platform, Designers represent and warrant that they own or have the lawful right to sell the listed items and that the listing does not infringe the intellectual property rights of any third party.
5.4 Content License. By uploading photographs, descriptions, or other content to the Platform, Designers grant Matalon Enterprises, LLC a non-exclusive, royalty-free, worldwide license to display and reproduce such content on the Platform and in related marketing materials.
5.5 Pricing and Shipping. Designers set their own item prices and shipping costs. Off The Grid reserves the right to remove listings where shipping costs are disproportionate to item value or are used to circumvent platform fees.
6.1 Buyer-Designer Contract. When a Buyer completes a purchase, a direct contract of sale is formed between the Buyer and the Designer. Off The Grid is not a party to that contract.
6.2 Payment Processing. All payments are processed by Stripe, Inc. By completing a purchase, you agree to Stripe's Terms of Service. Off The Grid does not store full payment card information.
6.3 Platform Fee. Off The Grid charges Designers a platform fee of 7% of the item sale price on each completed transaction, deducted automatically at the time of sale. Off The Grid reserves the right to modify its fee structure upon 30 days' written notice to Designers.
6.4 Fulfillment. Designers are solely responsible for fulfilling orders promptly and as described. Designers must upload a valid shipment tracking number within seven (7) calendar days of an order being placed.
6.5 Auto-Refund Policy. If a Designer fails to provide a valid tracking number within seven (7) calendar days of an order being placed, the order will be automatically refunded to the Buyer in full. Off The Grid is not liable to the Designer for any losses arising from the application of this policy.
6.6 Returns and Disputes. Except as provided in Section 6.5, Off The Grid does not administer returns or guarantee refunds on behalf of Designers. Buyers seeking a refund or return should contact the Designer directly. Off The Grid may, at its sole discretion, mediate disputes but is not obligated to do so.
In connection with your use of the Platform, you agree not to:
All content, design, code, and branding on the Platform — including the Off The Grid name, logo, and visual identity — are the property of Matalon Enterprises, LLC or its licensors. You may not reproduce, distribute, or create derivative works from any Platform content without our prior written consent.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
OFF THE GRID MAKES NO WARRANTY THAT: (A) THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE; (B) ANY LISTING IS ACCURATE OR AS DESCRIBED; (C) DESIGNERS ARE WHO THEY REPRESENT THEMSELVES TO BE; OR (D) GOODS SOLD ON THE PLATFORM WILL MEET YOUR EXPECTATIONS.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MATALON ENTERPRISES, LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO OFF THE GRID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).
You agree to indemnify, defend, and hold harmless Matalon Enterprises, LLC and its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of: (a) your use of the Platform; (b) your listings or products; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of any third party.
Off The Grid reserves the right to suspend or terminate your account at any time, with or without cause and with or without notice, including for any violation of these Terms.
You may close your account at any time by contacting us at support@offthegrid.nyc. Termination does not relieve you of any obligations incurred prior to the termination date.
These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of laws principles.
Any dispute arising out of or relating to these Terms shall first be submitted for informal resolution by contacting us at legal@offthegrid.nyc. If not resolved within 30 days, it shall be finally resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules.
YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION WITH RESPECT TO ANY CLAIM COVERED BY THESE TERMS.
We may modify these Terms at any time. We will notify you of material changes by email or prominent Platform notice at least 14 days before the effective date. Continued use constitutes acceptance.
Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Off The Grid with respect to the Platform.
Severability. If any provision is held invalid or unenforceable, the remaining provisions continue in full force.
No Waiver. Failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.
Assignment. You may not assign your rights without our prior written consent. We may assign freely.
