These Terms of Use (“Terms”) govern your access to and use of the Off The Grid platform operated by Matalon Enterprises, LLC (“Off The Grid,” “we,” “us,” or “our”). By creating an account or using the platform at offthegrid.nyc(the “Platform”), you agree to be bound by these Terms. If you do not agree, do not use the Platform.
By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines or rules posted on the Platform. These Terms constitute a legally binding agreement between you and Matalon Enterprises, LLC.
If you are using the Platform on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
Off The Grid is a curated online marketplace connecting independent fashion designers with buyers. We provide the technology infrastructure, verification process, and payment facilitation that enable designers to list and sell their products directly to consumers.
Off The Grid is not a party to the transactions between buyers and designers. We do not manufacture, store, or ship any products. Designers are solely responsible for the accuracy of their listings, the quality of their products, and the fulfillment of orders.
3.1 Registration. To use certain features of the Platform, you must create an account by providing a valid email address and password. You agree to provide accurate, current, and complete information during registration.
3.2 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access or use of your account.
3.3 One Account Per Person. Each individual may maintain only one buyer account. Designers may hold one designer account linked to their buyer account.
4.1 Age Requirement. You must be at least 18 years old to use the Platform. By creating an account, you represent and warrant that you are at least 18 years of age.
4.2 Designer Eligibility.Designers must apply and be approved before listing products on the Platform. Approval is at our sole discretion and is based on factors including design originality, production quality, and brand alignment with the Platform’s curatorial standards.
4.3 Restricted Jurisdictions. You may not use the Platform if you are located in a jurisdiction where such use would be prohibited by applicable law or where we are unable to provide payment processing services.
5.1 Listing Requirements. Designers are responsible for ensuring that all listings are accurate, complete, and not misleading. Each listing must include the product name, description, price, shipping cost, available quantity, at least one photograph, and the appropriate category.
5.2 Prohibited Items. The following items may not be listed on the Platform:
5.3 Removal. We reserve the right to remove any listing at any time and for any reason, including but not limited to violations of these Terms or our content guidelines.
6.1 Purchasing. When you place an order, you are entering into a transaction directly with the designer. Off The Grid facilitates payment processing through Stripe, Inc. but is not a party to the sale.
6.2 Pricing. All prices are listed in U.S. dollars and are set by the designer. Applicable taxes and shipping costs are displayed at checkout.
6.3 Shipping. Designers are responsible for shipping orders within the timeframes specified in their listings. If a designer fails to ship an order within seven (7) business days of purchase, the order will be automatically canceled and the buyer will receive a full refund.
6.4 Returns and Refunds.Return and refund policies are governed by our Shipping & Returns policy, available on the Platform. Disputes between buyers and designers should first be resolved directly between the parties. Off The Grid may intervene at its sole discretion.
6.5 Platform Fee.Off The Grid charges designers a commission on each completed sale. The current fee structure is communicated to designers upon approval and may be updated with 30 days’ prior notice.

8.1 Platform Content.The Platform’s design, code, logos, and original content are owned by Matalon Enterprises, LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any Platform content without our prior written consent.
8.2 User Content. By uploading content to the Platform (including product images, descriptions, and designer profiles), you grant Off The Grid a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute that content solely in connection with operating and promoting the Platform. You retain all ownership rights in your content.
8.3 Infringement Claims. If you believe that content on the Platform infringes your intellectual property rights, please contact us at the address provided in Section 16. We will investigate and respond in accordance with applicable law.
The Platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Platform will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not endorse, guarantee, or assume responsibility for any products sold by designers on the Platform.
To the maximum extent permitted by applicable law, Matalon Enterprises, LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Platform.
Our total aggregate liability for all claims arising out of or relating to these Terms or your use of the Platform shall not exceed the greater of (a) the total fees paid by you to Off The Grid in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).
You agree to indemnify, defend, and hold harmless Matalon Enterprises, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any third-party rights.
12.1 By You. You may close your account at any time by contacting us or using the account settings on the Platform. Closing your account does not relieve you of any obligations incurred prior to closure.
12.2 By Us. We may suspend or terminate your account at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violations of these Terms, fraudulent activity, or extended inactivity.
12.3 Effect of Termination. Upon termination, your right to access and use the Platform ceases immediately. Sections 8 through 13 of these Terms shall survive termination.
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. Any legal action arising out of or relating to these Terms or your use of the Platform shall be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of such courts.
We may update these Terms from time to time. We will notify you of material changes by email or prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms.
15.1 Entire Agreement. These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Off The Grid regarding your use of the Platform.
15.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
15.3 Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
15.4 Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
